Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") form a binding agreement between you, or the organisation you represent ("you", "Customer"), and McNif ("McNif", "we", "us") governing your access to and use of the McNif platform, websites, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you accept these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
If you do not agree to these Terms, you must not access or use the Service.
2. The Service
McNif is a multi-tenant, software-as-a-service customer relationship management (CRM) platform. The Service is delivered over the internet on shared infrastructure, where each customer organisation operates within its own logically isolated tenant. Features, modules, and functionality may evolve over time as we improve the Service. We may add, modify, or discontinue features at our discretion, and will use reasonable efforts to communicate material changes.
3. Accounts & Eligibility
To use the Service you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, and legally able to enter into these Terms. You are responsible for the acts and omissions of any users you invite to your tenant.
4. Subscriptions & Billing
The Service is offered on a paid subscription basis billed monthly, unless otherwise agreed in writing. Pricing, plan inclusions, and user limits are described on our pricing materials and are subject to change with reasonable notice. Fees are [placeholder — insert specific amounts, currency, and tax treatment] and, except where required by law, are non-refundable. Subscriptions renew automatically each billing period until cancelled. Failure to pay may result in suspension or termination of access.
5. Acceptable Use
You agree not to misuse the Service. You will not: use the Service to violate any law or third-party rights; send unsolicited, unlawful, or deceptive communications; upload malicious code or attempt to gain unauthorised access to the Service or other tenants; interfere with or degrade the integrity or performance of the Service; or reverse engineer, resell, or sublicense the Service except as expressly permitted. You are responsible for ensuring your use of any messaging or outreach features complies with applicable anti-spam and communications laws.
6. Customer Data & Ownership
As between you and McNif, you own all data, records, and content you submit to the Service ("Customer Data"). You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the Service, and as otherwise permitted in our Privacy Policy. You are responsible for the accuracy and legality of Customer Data and for having the necessary rights and consents to provide it to us.
7. Data Isolation & Security
The Service is multi-tenant by design. Tenant data is isolated at the database layer using PostgreSQL row-level security (RLS), so that records belonging to one tenant are not accessible to another. We apply role-based access controls and reasonable administrative, technical, and organisational measures to protect the Service. No method of transmission or storage is perfectly secure, and we cannot guarantee absolute security.
8. Third-Party Services
We rely on trusted third parties to deliver the Service, and these act as our sub-processors:
- Supabase — authentication, database, and storage infrastructure.
- SendGrid — transactional and CRM email delivery.
- Anthropic — AI-powered features such as the AI coach.
Your use of the Service may be subject to the relevant third party's terms. We are not responsible for the acts or omissions of third-party providers beyond our reasonable control. See our Privacy Policy for further detail on sub-processors.
9. Intellectual Property
The Service, including all software, design, text, graphics, and the McNif name and logos, is owned by McNif or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable right to access and use the Service during your subscription. We retain all rights not expressly granted. Any feedback you provide may be used by us without restriction or obligation to you.
10. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that outputs of AI-powered features will be accurate or complete. AI features may produce incorrect or incomplete results and should not be relied upon as professional advice.
11. Limitation of Liability
To the maximum extent permitted by law, McNif will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Termination
You may cancel your subscription at any time, effective at the end of the current billing period. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or use the Service in a way that poses a risk to us or others. Upon termination, your right to use the Service ceases. We will make Customer Data available for export for a reasonable period after termination, after which it may be deleted in accordance with our Privacy Policy.
13. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by posting the updated Terms with a revised "Last updated" date or by notifying you in-app or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of [jurisdiction], without regard to its conflict of laws rules. You agree to the exclusive jurisdiction of the courts located in [jurisdiction] for any dispute arising out of or relating to these Terms or the Service.
